After signing the Counseling Agreement, Huatai United Securities and Bank of China International Securities carried out a planned, step-by-step, multi-level and all-round counseling work in accordance with the relevant regulations of the China Securities Regulatory Commission and the Counseling Agreement signed with Mindray Medical. The tutoring lasted for one month (from December 21, 2016 to January 18, 2017). Huatai United Securities sent a total of 11 counselors, and BOC International Securities sent a total of seven counselors. The personnel have signed the report to the Shenzhen Securities Regulatory Commission of the China Securities Regulatory Commission.
According to the report, during the counseling work, the counseling team went to Mindray Medical Center to conduct due diligence, developed a specific counseling plan, conducted a bottom-up survey, and the counselors used the experience exchange meeting, case analysis, problem diagnosis and professional consultation to control the company. The structure, management absentee, business operation, and development strategy were discussed and analyzed. Some of the company's existing under-regulation problems were proposed, and corresponding rectification suggestions were proposed, and the company was assisted to solve the problem. At the same time, the counseling team will discuss and communicate with lawyers, accountants and the company, and urge the company to improve the corporate governance structure and internal control system in line with the requirements of the modern enterprise system to achieve the company's standard operation.
In response to the focus of the next phase of counseling, the report pointed out that the counseling agency will further promote counseling based on continuous due diligence work. During the period, Mindray officially submitted the application materials for counseling and filing to the Shenzhen Securities Regulatory Bureau on December 27, 2016, and was accepted.
